1. Acceptance of these Terms

showspring.com (the "Site") is operated by Overdigital LLC, a New Jersey limited liability company ("Overdigital," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms of Use. If you do not agree, please do not use the Site.

What these Terms cover. These Terms govern your use of the showspring.com website and its early-access interest form. They are not the terms for using the Showspring application. Access to and use of the Showspring app at app.showspring.com, and participation in the early-access program, are governed by separate terms and notices provided to participants. Nothing on this Site grants you a right to use the app.

2. About Showspring

Showspring is an independent, early-access AI production studio for episodic shows. The Site describes the project, showcases work made with it, and lets you express interest in participating. Showspring is under active development and is provided on an "as available" basis. Features, availability, and the early-access program may change or be discontinued at any time without notice.

3. Early Access and No Guarantee

Showspring is not a finished commercial product. Submitting the interest form does not guarantee access, and we may add you to a waitlist, contact you, or decline to provide access at our discretion. We make no promise that the Site, the project, or any output will meet your requirements or be available without interruption.

4. Intellectual Property

The "Showspring" name, logo, the Site's text, design, and graphics are owned by Overdigital LLC unless otherwise stated. Episodes and other content showcased on the Site, including The Doodle Cast, are owned by their respective owners and shown for illustrative purposes. You may not copy, reproduce, distribute, scrape, or create derivative works from the Site or its content without our express written permission, except for ordinary personal viewing.

5. Acceptable Use

When using the Site, you agree not to:

Attempt to gain unauthorized access to the Site, its backend, or any access-gated pages;
Use automated tools to scrape, copy, or harvest content or submissions;
Submit false, misleading, or spam information through any form;
Upload or transmit malicious code, or attempt to disrupt or compromise the Site;
Use the Site in violation of any applicable law or regulation.

6. Third-Party Links and Services

The Site may link to or embed third-party websites and services (for example, YouTube embeds and links to app.showspring.com, the operator manual, and overdigital.ai). We are not responsible for the content, accuracy, or practices of third-party sites. Visiting them is at your own risk and subject to their terms.

7. Disclaimer

The Site and all content on it are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, Overdigital LLC, its members, and its agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Site, including loss of data or business interruption. To the extent any liability cannot be excluded, it is limited to one hundred U.S. dollars ($100).

9. Indemnification

You agree to indemnify and hold harmless Overdigital LLC, its members, and its agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Site or your violation of these Terms.

10. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes what data we collect and how it is used.

11. Changes to these Terms

We may update these Terms from time to time. The "last updated" date above reflects the latest version. Continued use of the Site after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.
